Agreement

By using HireApp's services, you agree to these Terms and Conditions. Please read them carefully before using our platform.

These Terms & Conditions (“Terms”) govern your access to and use of the website and online services branded as HireApp, currently available at https://www.hireapp.me (and any related domains, subdomains, applications, or services) (collectively, the “Site”), operated by HireApp Technologies, Inc., a Delaware corporation, located at 651 N Broad St, 19709, Middletown, DE (“HireApp,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

These Terms apply only to your use of the website and marketplace. Separate agreements (including our Online Service Agreement) apply to Businesses and Contractors who register and use HireApp’s services.

1. The HireApp Marketplace

HireApp operates an online marketplace that enables Businesses to connect with Contractors for potential work opportunities.

IMPORTANT: HireApp is a technology platform only. HireApp:

  • Does not provide services offered by Contractors

  • Does not employ, engage, or contract with Contractors or Businesses

  • Does not supervise, direct, or control any work

  • Is not a party to any agreement between a Business and a Contractor

  • Does not act as an agent, broker, or representative of any user

Any engagement, contract, or working relationship is solely between the Business and the Contractor.

2. No Employment or Agency Relationship

Nothing in these Terms or on the Site creates any employment, agency, partnership, joint venture, or similar relationship between HireApp, any Business, or any Contractor.

Contractors are not employees of HireApp or of any Business. Businesses and Contractors act independently and are not agents or representatives of HireApp or of each other.

Businesses and Contractors are solely responsible for determining the terms and conditions of any engagement and for complying with all applicable laws, including tax, labor, and employment laws.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. By using the Site, you represent and warrant that you meet these requirements.

4. Accounts and Access

You may browse certain parts of the Site without creating an account. To access certain features, you may need to register and agree to additional terms, including the Online Service Agreement.

You agree to:

  • Provide accurate and complete information

  • Keep your login credentials secure

  • Be responsible for all activity under your account

HireApp may suspend or terminate your access at any time for violation of these Terms.

5. No Guarantees or Endorsements

HireApp does not:

  • Guarantee that a Business will find a Contractor

  • Guarantee that a Contractor will obtain work

  • Verify, certify, or endorse any user, listing, or opportunity

  • Guarantee the quality, safety, legality, or suitability of any services

You use the Site and marketplace at your own risk.

6. User Content and Conduct

You are responsible for any content you submit, post, or transmit through the Site.

You agree not to:

  • Post false, misleading, or unlawful content

  • Impersonate any person or entity

  • Violate any law or regulation

  • Interfere with or disrupt the Site

  • Attempt to access systems or data without authorization

HireApp may remove content or restrict access at its discretion.

7. Third-Party Interactions

All interactions, negotiations, and agreements between Businesses and Contractors occur directly between those parties.

HireApp is not responsible for any disputes, claims, injuries, losses, or damages arising out of or related to such interactions, including the performance of services or payment for services.

HireApp does not provide legal, tax, or employment advice.

8. Fees and Paid Features

Some features of the Site or services may require payment or be subject to separate terms. Any such terms will be presented to you separately and will not modify these Terms unless expressly stated.

9. Intellectual Property

The Site, including its content, software, design, and branding, is owned by or licensed to HireApp and is protected by intellectual property laws.

You may not copy, modify, distribute, sell, or exploit any part of the Site without our prior written consent.

10. Disclaimer of Warranties

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIREAPP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

HIREAPP DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIREAPP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE.

HIREAPP’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID TO HIREAPP (IF ANY) IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

12. Indemnification

You agree to indemnify and hold harmless HireApp, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of:

  • Your use of the Site

  • Your violation of these Terms

  • Your interactions or disputes with other users

13. Termination

HireApp may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms.

14. Governing Law and Venue

Except as set forth in Section 17 (Dispute Resolution and Arbitration), these Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

If arbitration does not apply, any legal action arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date will reflect the latest version. Your continued use of the Site after changes means you accept the updated Terms.

17. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights and includes a waiver of your right to bring a lawsuit in court or to participate in a class action.

You and HireApp agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or your use of the Site (collectively, “Disputes”) shall be resolved by binding arbitration, rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies.

This arbitration agreement is governed by the Federal Arbitration Act and shall be administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules then in effect, except as modified by this section. The arbitration shall be conducted by a single neutral arbitrator.

The arbitration may be conducted remotely, including through the submission of documents, by phone, or by video conference, unless the parties and the arbitrator agree otherwise.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement.

The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

18. Class Action Waiver

You and HireApp agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding.

Unless both you and HireApp agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not preside over any form of class, collective, representative, or private attorney general proceeding.

If this Class Action Waiver is found to be unenforceable, then the entirety of the arbitration agreement in Section 17 shall be null and void.

19. Opt-Out Right

You have the right to opt out of arbitration by sending written notice of your decision to opt out to:

Your notice must include your name, address, and a clear statement that you want to opt out of arbitration, and it must be sent within 30 days of first accepting these Terms.

If you opt out of arbitration, you and HireApp agree that disputes will be resolved exclusively in the state or federal courts located in Delaware, as set forth in Section 14.
